Chapter I

SPECIAL PROVISIONS

 

Article 1.

Purpose of creation of the International Association of Design Specialists

and these Bylaws

1.1.    The International Association of Design Specialists INASDS was established to bring together Internationally distinguished and recognized professionals and experts in the design industry.

1.2.    The present Charter regulates the creation, organization, and activity of the International Association of Design Specialists INASDS.

Article 2.

Residency in the International Association of Design Specialists INASDS

2.1.    Residents of the International Association of Design Specialists (INASDS) can become Leading professionals, innovators, and successful leaders in design. They have made a significant contribution to the field’s development and are internationally recognized for their achievements in implementing advanced ideas, technologies, and solutions.

2.2.    The residents of the Association are divided into two categories:

А.   Honorary Residents of the Association (Prestigious Status) are outstanding international experts and professionals, scientists, government officials, entrepreneurs, and other highly respected professionals, recognized leaders in the design field, who have significantly contributed to design development at the international level.

А.1.  The status of Honorary Resident is assigned and approved by the International Expert Council of Association of Design Specialists INASDS

А.2.  The Honorary Resident status is granted only upon special invitation of the Association, which is issued by an official letter of the Association

А.3.  Only Honorary Residents of the Association may be Members of the Expert Council of the Association

А.4.  Honorary Residents of the International Association of Design Specialists INASDS are presented with an ID card of Honorary Resident of the Association.

А.5. Honorary Residents of the International Association of Design Specialists INASDS are presented with a Certificate of Honorary Membership to confirm their outstanding international achievements in the design field.

В.   Residents of the Association (Regular status) are highly qualified professionals and companies actively involved in design projects. They support the goals and initiatives of the Association, participate in its events, and pay membership fees. The process of admission of new Residents of the Association begins with submitting a written application recommended by a current Resident of the Association or Honorary Resident of the Association to the President of the International Association of Design Specialists INASDS. The Expert Council of the Association makes the admission decision.

 

Article 3.

Expert Council

 

3.1.  The International Expert Council of the International Association of Design Specialists INASDS consists of Honorary Residents of the Association who are outstanding International Experts recognized by the World Professional Community as some of the leading and most influential specialists in various fields of Design. These professionals have in-depth knowledge and significant experience, and their work contributes significantly to the development of the Global Design Industry.

3.2.  The International Expert Council of the International Association of Design Specialists INASDS performs a vital role in the evaluation of applications and projects submitted for the International Awards organized by the International Association. The International Expert Council acts based on independent and comprehensive expert evaluation, taking into account not only the innovation and creativity of projects but also their International practical value, compliance with modern trends and requirements of the design industry. Based on the professional opinion of the members of the International Expert Council, decisions on winners and laureates are made, allowing the International Association to maintain high standards of quality and professionalism in the design field.

 

Chapter II

GENERAL PROVISIONS

Article 4.

Aims, tasks, and directions of the Association’s activities

 

4.1.    The primary purpose of the International Association of Design Specialists INASDS is to unite and consolidate the efforts of professionals and experts in the field of design to promote the development of innovative and creative solutions, improve the quality of life through design, and stimulate innovative ideas in different spheres of economy and culture.

 

4.2. Main tasks of the International Association of Design Specialists INASDS:

  1. Creating an international network for collaboration between designers, creative professionals, and specialists from related fields to share experiences and work together on innovative projects.
  2. Raise awareness of the role of design as a driver of innovation, cultural change, and social progress on a global scale.
  3. Develop and update a database of design, innovation, and creative industries professionals and organizations to integrate them into the international community.
  4. To provide platforms for communication, knowledge sharing, and partnerships between Association members and other key players in design, technology, business, and culture.
  5. Researching global design trends and practices, analyzing market needs and the dynamics of change in the creative industries to improve practices and maintain relevance for Association members.
  6. Develop and promote tools and programs to support designers, entrepreneurs, and organizations working in the creative industries and educational and financial initiatives.
  7. To promote design projects and products on international platforms, organizing exhibitions, competitions, and other events to increase participants’ global visibility.
  8. Representing the interests of designers and creative professionals in international and regional politics, stimulating dialog with government agencies, investors, and consumers of innovative solutions.
  9. Initiate and develop educational programs, trainings, and seminars in design, innovation, and creative technologies for the professional development of specialists and the exchange of experience.

 

4.3. To realize its goals, the International Association of Design Specialists INASDS carries out the following activities:

  1. Providing venues for international forums, conferences, seminars, and other events to discuss topical issues and develop innovative solutions in the design field.
  2. Attracting sponsorship and investor support for critical projects, including creating new initiatives and supporting design start-ups and business projects.
  3. To provide access to training resources and information for design and creative professionals and foster an environment for ongoing professional development.
  4. To contribute to solving socio-economic problems through design solutions to improve the urban environment, infrastructure, and quality of life of people.
  5. Form strategic partnerships and coordinate with involved parties, including other professional associations, business communities, authorities, NGOs, and the media, to collaborate on critical issues and initiatives.
  6. Maintain effective working relationships with government agencies, international organizations, and other stakeholders that influence the development of creative industries.
  7. Organizing and hosting events such as festivals, exhibitions, competitions, conferences, and other events that promote design and innovation on a global level.
  8. Organizing design competitions and awards to help identify and support talented designers and creative projects.
  9. Carrying out other activities within the legal framework of the countries where the Association operates aimed at developing and supporting the sphere of design and creative industries.

Chapter III

ORGANIZATIONAL STRUCTURE

Article 5.

Management bodies of the Association

5.1. The Board of the Association is the supreme governing body of the International Association of Design Specialists INASDS.

  1. The supreme governing body of the Association is the Board of the Association (hereinafter referred to as the Board), which consists of 5 members of the Association.
  2. Meetings of the Board shall be called as needed, but at least quarterly.
  3. Special meetings of the Board of the Association shall be held:

C.1 On the President’s or the Supervisory Board’s initiative

  Associations;

C.2 At the initiative of the members of the Association, if the following are in favor of it 

  at least one-third of its members out of the total number of

  Associations;

C.3 At the initiative of the Internal Auditor of the Association.

  1. Decisions of the Association Board shall be formalized by minutes and sent to all residents of the Association.
  2. Decisions on amendments and additions to the Charter, on reorganization and liquidation of the Association, shall be made in the presence of a quorum.
  3. Decisions of the Board shall be binding on all residents and governing bodies of the Association regardless of the form or process of the decision.
  4. The exclusive competence of the Management Board shall include:

E.1. Proposals for amendments and additions to the Charter;

E.2.  Determination of the principal and priority activities of the Association, principles of formation and use of its property, consideration, and approval of long-term programs and activity plans;

E.3. Election and recall of members of the Supervisory Board of the Association;

E.4.  Decision-making on the amount and procedure for payment of admission and membership fees of the Association by members;

E.5.  Election of the Internal Auditor and the President of the Association and early termination of their powers

E.6. Deciding whether the Association shall join or withdraw from Unions or Associations;

E.7.  Approval of the annual cash flow statement and the annual balance sheet;

E.8.  Adoption of internal regulations under the exclusive competence of the Management Board.

5.2. The Supervisory Board of the International Association of Design Specialists (INASDS) is a permanent, collegial, supervisory management body of the Association, which carries out general management of the Association during the period between general meetings of the Association members.

  1. The Supervisory Board of the Association shall exercise general management of the Association’s activities between meetings of the Board of the Association within the competence provided for in these Bylaws.
  2. The Supervisory Board shall coordinate the Association’s main activities and exercise general control over the activities of the Association.
  3. The Board of the Association elects the Supervisory Board of the Association for a 3-year term and may be re-elected for a new term. The Supervisory Board shall consist of 9 (nine) residents, one of whom shall be the Chairman of the Supervisory Board.
  4. Members of the Supervisory Board may resign from the Supervisory Board. When seats on the Supervisory Board are vacated, the Management Board shall elect new members from qualified and respected individuals who have demonstrated an interest in achieving the goals and objectives of the Association.
  5. The quorum for a meeting of the Supervisory Board shall be at least half of the total number of members of the Board. Decisions at a meeting of the Supervisory Board members shall be made by a majority of votes of those present. In case of equality of votes of the Supervisory Board members, the vote of the Chairman shall be decisive.
  6. The following matters shall fall within the exclusive competence of the Supervisory Board of the Association:

F.1. Admission and expulsion of residents from the Association;

F.2. Monitoring of the implementation of decisions taken by  

        By the Board, in fulfillment of the objectives of the Association;

F.3. Approval of medium-term action plans and goals of the Association;

F.4. Approval of decisions of the President of the Association to enter into any civil legal transactions;

F.5.  Appointment of an audit organization to audit accounting records and financial (accounting) statements;

F.6. Deciding on convening and holding a meeting of the Management Board;

F.7. Formation of committees and commissions of the Association, approval of their composition and regulations on them;

F.8. Consider other issues that fall outside the competence of other management bodies of the Association.

5.3. The President of the International Association of Design Specialists INASDS is the sole executive body of the Association elected by the Board.

          Functions and Authorization:

  1. Shall have operational management of the activities of the Association;
  2. Shall have the right of first signature on financial and other documents of the Association;
  3. Dispose of Association property to support the day-to-day operations of the Association within the limits outlined in the Association’s Bylaws;
  4. Enter into labor contracts with employees of the Association, apply incentives, and impose reasonable penalties on such employees;
  5. Enter into civil law transactions on behalf of the Association for an amount approved by the Supervisory Board;
  6. Issue powers of attorney on behalf of the Association;
  7. Shall open Association accounts in banks;
  8. Issue orders and give instructions binding on all employees of the Association;
  9. Without power of attorney, acts on behalf of the Association, represents it before third parties, in all organizations, in courts, law enforcement and supervisory authorities, state administrative bodies, commercial and non-profit organizations;
  10. Perform other functions and exercise other actions and powers necessary to accomplish the purposes of the Association’s activities and to ensure its proper operation under the Association’s Bylaws and the Association’s internal regulations governing the Association’s bodies.
  11. Decides other issues of the Association’s activities, except those within the exclusive competence of the Association’s Management Board or the Supervisory Board of the Association.

5.4. Internal Auditor of the International Association of Design Specialists INASDS – the controlling body of the Association.

  1. An internal auditor shall be appointed for three years to oversee the activities of the Association. The internal auditor shall report to the Board of the Association.
  2. The internal auditor shall audit the Association’s economic, financial, and other activities at least once a year. Internal audit inspections shall maintain the Association’s standard mode of operation.
  3. The internal auditor shall have the right to require the officers of the Association to furnish him/her with all necessary materials, accounting, and other documents.
  4. The Internal Auditor shall forward the results of his/her audits to the Board of the Association. The internal auditor may inspect and audit all property of the Association and verify work performed during the year and the related expenses of the Association.
  5. The Internal Auditor shall have the right of unconditional access to all records of the Association. At the request of the Internal Auditor, the Association’s President and the Association’s employees shall provide the necessary explanations in writing or orally.

5.5. Other management bodies may be established in the Association as necessary. The Management Board of the Association shall determine the procedure for their activities.

Chapter IV

OPERATING PRINCIPLES

Article 6.

Principles of the Association’s activity

 

6.1.  The activity of the International Association of Design Specialists INASDS is based on the following principles:

  1. Principle of democratic decision-making: participation of all members in discussions and decision-making processes, ensuring equal opportunities to express opinions and proposals.
  2. The openness of the Association’s activities, including information availability, processes transparency, and reporting, contributes to creating a trusting atmosphere among the participants.
  3. Ensuring equal opportunities for all participants, regardless of professional background, country of origin, or line of work. Diversity of approaches and opinions enriches the team and promotes creative development.
  4. Cooperation is the main factor for successful development. The Association encourages partnerships between members and supports joint work with various professional and educational organizations as well as public and private entities.
  5. Mutual support between participants through sharing experience, knowledge, and resources fosters the development of professionals and strengthens ties within the design industry.
  6. Adhering to high ethical standards, being honest and fair in actions, and avoiding dishonest practices contribute to the reputation and credibility of design as a profession.
  7. Professionalism in every area of design activity, including continuous improvement of skills and knowledge, maintaining high competence and responsibility.
  8. Social responsibility in supporting projects and initiatives to solve global and local social and environmental problems through design.
    1. Transparency and consideration of the interests of all participants: All decisions are made considering the interests of all residents of the Association, both individual professionals and organizations working in the design field. Consensus is the main principle in making critical decisions, and all participants have the opportunity to express their opinions and propose solutions.
  9. Solutions should focus on the long-term and sustainable development of design as an industry, supporting new technological, social, and cultural initiatives that include innovative approaches and a positive impact on all aspects of design.

Chapter V

AWARDS AND INTERNATIONAL PRIZES

 

Article 7.

Awards of the Association

7.1.    International Association of Design Specialists INASDS for outstanding achievements in the field of design and many years of innovative contribution to the industry, has the right to present awards to deserving or distinguished extraordinary talent specialists who have made a significant contribution to the development of design and its related fields. Awards of the Association may be in the form of honorary diplomas, medals, orders, and other forms of recognition for the following services:

  1. Outstanding Achievement in Design – for creating innovative, creative, and original design solutions that have had a notable impact on the development of design within an individual country and on the international stage.
  2. Multi-Year Innovative Contribution – for consistent and sustained development of new approaches and technologies in design, as well as innovation in the design, production, and operational processes of design solutions.
  3. Creative Industries Leadership – for creating, promoting, and implementing unique projects that have influenced design trends and changed industry standards.
  4. Influencing the development of educational and professional standards in design – for active work in the education and training of new generations of designers and for shaping high professional standards in the industry.
  5. Creating Sustainable and Functional Design Solutions – for developing environmentally friendly and socially responsible designs that meet today’s sustainability and resource management requirements.
  6. Contribution to the development of International Design – for active participation in international projects, competitions, exhibitions, and other events contributing to the popularization of design and strengthening of International relations.
  7. Innovations in Interdisciplinary Design – for significant contributions to related design fields such as design in architecture, interiors, industrial design, and other areas that require an integrated approach and integration of knowledge.
  8. Exceptional contribution to the development of corporate design and branding – for work aimed at shaping and strengthening corporate identities, creating unique visual and conceptual images for companies and organizations.

International Association of Design Specialists (INASDS) Awards are a high honor and recognition for outstanding achievements in their professional field. They are designed to motivate professionals to further develop and reach new heights in the world of design.

 

Article 8.

 

International Awards

8.1.    The International Association of Design Specialists INASDS organizes the International Awards (hereinafter referred to as the International Awards), an essential tool for recognizing International best practices and outstanding achievements in the design field. The International Awards encourage innovation, unique talent, exceptional creativity, and sustainable solutions in the international design and creative industries.

8.2.    The International Prize has several key objectives:

А.   Recognition of outstanding professionals and organizations that have contributed significant international contributions to design development.

В.   Promoting best practices and innovative solutions in creative design to improve people’s lives and the environment.

С.   To incentivize international design industry professionals to implement sustainable and innovative solutions.

8.3.    The procedure for holding the International Prizes shall include several stages:

  1. Announcement of the International Prize.
  2. Submission of applications and required documents by participants.
  3. Evaluation of applications by the Expert Council.
  4. Presentation of final projects and voting by the Expert Council.
  5. International Award Ceremony.

8.4.    International Achievements and Projects are evaluated on the following essential criteria but are not limited to:

  1. Innovation and originality of the idea.
  2. The aesthetic quality and functionality of the design.
  3. Impact on society and the environment.
  4. Introduction of technology and new solutions.
  5. Social responsibility and sustainability of the project.

8.5.    Winners of the International Awards of the International Association of Design Specialists INASDS are awarded, but not limited to, the following awards and forms of recognition:

  1.

  3. The results will be published on the official Internet platforms of the association.
  4. Other prizes, gratuities, or gifts from sponsors.

Chapter VI

EVENT PARTICIPANTS AND THEIR RESPONSIBILITIES

 

Article 9.

Participants of the International Awards

 

9.1.    Participants of the International Awards of the International Association of Design Specialists INASDS can be:

  1. Designers, architects, artists, and other professionals working in the field of design, including, but not limited to, professionals in areas such as graphic, industrial, web design, landscape architecture, interior design, fashion design, UX/UI design, and professionals involved in the research, development, and implementation of new design concepts and innovations.
  2. Educational institutions, research organizations, and research centers specializing in teaching, research, and development of new technologies and design approaches that contribute to the development of industry and professional competencies.
  3. Design companies and organizations, including design studios, agencies, architectural firms, and manufacturing and technology companies, are actively engaged in the design, development, and implementation of innovative design products, services, and solutions and in incorporating new technologies into their practice.
  4. Public and private institutions that support and promote design culture providing regulatory frameworks and financial support for industry-driven initiatives and integrating design into government and corporate strategies.
  5. Private entrepreneurs, startups, and innovators working in the design field develop new methods, processes, tools, and concepts that contribute to developing and promoting design as an essential component of the modern economy.

Article 10.

Responsibilities of participants in the International Prizes

10.1. Participants of the International Awards of the International Association of Design Specialists INASDS are obliged to:

  1. They agree to use intellectual rights for their materials, including designs, images, and other works, with the organizers.
  2. Observe professional ethics, avoid plagiarism and unfair competition, and respect the rights of other participants.
  3. Provide accurate information about their work and qualifications to avoid falsification and misrepresentation.
  4. Comply with the requirements of the event regulations, including application deadlines and preparation of materials.
  5. Respect the copyrights of other participants and ensure that submissions are original or with permission to use.
  6. Maintain confidentiality if the information is deemed confidential under the terms of the event.
  7. Actively participate in events and interact with other participants and organizers.
  8. Observe safety requirements if the event is held in a physical space.

Chapter VII

FINAL PROVISIONS

Article 11.

Amendments and additions to the Charter

International Association of Design Specialists INASDS

11.1. The Introduction of amendments and additions to the Charter of the International Association of Design Specialists INASDS and approval of a new version of the Charter of the Association is made based on the founders’ decision. If one of the provisions of this Charter of the Association becomes invalid, it does not affect the remaining provisions.

 

Article 12.

 

International Association of Design Specialists INASDS

12.1. The International Association of Design Specialists INASDS validity period is unlimited.
